These Terms of Service ("Terms") govern your access to and use of the PRISMO platform operated by JyotixEdge Pvt. Ltd. ("PRISMO", "we", "us", or "our"). By accessing or using prismosuite.com or any related application (the "Service"), you agree to be bound by these Terms.
01Account and eligibility
To use the Service you must be at least 18 years old and authorised to enter into this agreement on behalf of your restaurant or business. You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account.
02Subscription and fees
The Service is provided on a subscription basis. Fees, features, and limits are described in your order form or on our pricing page. Unless stated otherwise, subscriptions renew automatically. You may cancel at any time, effective at the end of the current billing period.
03Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload content that infringes intellectual property, privacy, or other rights of any third party.
- Attempt to reverse engineer, decompile, or circumvent the Service's security measures.
- Use the Service to send spam or unsolicited communications.
- Interfere with or disrupt the integrity or performance of the Service.
04Your content and data
You retain all ownership rights in the content you upload or generate through the Service ("Your Content"). You grant PRISMO a limited, non-exclusive licence to host, process, and display Your Content solely to provide the Service to you.
05Third-party integrations
The Service may integrate with third-party services (such as WhatsApp Business API, Meta platforms, payment processors, and AI providers). Your use of such services is governed by their respective terms. We are not responsible for the acts or omissions of third-party providers.
06Intellectual property
PRISMO, its logo, the Service, and all related software, designs, and documentation are the property of JyotixEdge Pvt. Ltd. and are protected by intellectual property laws. No rights are granted except those expressly set out in these Terms.
07Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, PRISMO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that forecasts, predictions, or AI-generated content will be accurate.
08Limitation of liability
To the maximum extent permitted by law, PRISMO's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees paid by you to PRISMO in the 12 months preceding the event giving rise to the claim. PRISMO will not be liable for any indirect, incidental, consequential, special, or punitive damages.
09Termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that exposes PRISMO or other users to legal or reputational risk. On termination, your right to use the Service ends immediately. We will make your data available for export for a reasonable period as described in our Privacy Policy.
10Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
11Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-Service notice at least 14 days before the changes take effect.
